Types of securities:

There are a number of ways to join the LSE markets, some of which are more suitable for internationally-based companies.

Shares

UK companies seeking a stock market quotation apply for a primary listing. Internationally-based companies can apply for a primary listing or, if already listed on their own domestic markets, can apply for a dual primary or secondary listing in London. Shares can be denominated in all major currencies.

Depositary Receipts

Depositary Receipts (DRs) are negotiable certificates which represent ownership of a given number of a company's shares which can be listed and traded independently from the underlying shares. There are a number of forms of DRs including American Depositary Receipts (ADRs), Global Depositary Receipts (GDRs), Euro Depositary Receipts (EDRs) and Retail Depositary Receipts (RDRs) - all of which can be listed in London.

Bonds

As well as shares and DRs, companies can list debt instruments on the Main Market. These range from simple eurobonds and credit-linked notes to complex asset-backed issues, high yield bonds and convertible/ exchangeable bonds

Form and legal characteristics

Both registered and bearer bonds can be listed in London, on the condition that the rights associated with such instruments remain at all times transferable and negotiable.

Structure

Simple bonds listed in London include fixed rate, floating rate and zero coupon bonds. More structured instruments include asset-backed and index-linked bonds.

Routes to market:

International companies can list a number of products in London - including shares, depositary receipts and debt offering, which are different and cost-effective ways to raise capital.

The Professional Securities Market (PSM)

On 1 July 2005, the London Stock Exchange introduced the PSM for the listing of debt, depositary receipts and convertible securities. In addition, PSM provides an alternative for issuers that do not prepare their financial information in accordance with IFRS or equivalent accounting standards.

LSE’s approach to regulation

A company can join the LSE, regardless of country of origin or sector of activity, with the main requirement being that the company must be appropriate for the market and of course legally registered in it's country of origin.

The Securities and Exchange Commission is limited by restrictions that do not necessarily apply to a private company or individual. The basic restriction on the SEC's regulatory authority is geographical; its authority does not extend beyond the borders of the United States. It is therefore possible to construct a series of domestic and foreign transactions that might not be legal in a single country but that are legal in the country in which each transaction takes place. Such a series of transactions requires careful planning and expert legal and financial advice, but can be a fast and private way to raise money.
